These terms and conditions represent a formal agreement "contract" between the BTS IT Solution "ERPEX" and the service users.  These user terms govern your use of a Cloud ERP service that is specially designed to provide automated accounting services for micro, small, and medium enterprises by providing Cloud ERP service that is carried out by a group of qualified external accountants with a high degree of experience and efficiency;  To ensure that all accounting records are correct and accurate, in order to save effort and costs for the targeted establishments. 

ERPEX reserves the right to amend or change these terms and conditions without prior notice, and it is your responsibility as a user of the system to review the controls and conditions of use periodically to see the updates that occur to these terms and conditions.

Eligibility to receive services

You represent and warrant the following:
1- Your use of ERPEX Services has never been suspended or prevented from using them at any time.
2- You are not a competitor to ERPEX, nor do you offer any competing product for the services provided by ERPEX.
3- You have full power and authority to contract and you will not be in breach of any law or contract.

Representations and warranties

You represent and warrant that you will:
• Comply with all applicable laws and regulations of the Kingdom of Saudi Arabia.
• Provide correct and accurate information to ERPEX and update them periodically.
Review and comply with any notices sent by ERPEX in connection with your use of the services provided by the ERPEX system.
• You will not duplicate, sublicense, issue, publish, transfer, distribute, perform, offer, sell or reclassify ERPEX Services, otherwise you will transfer or commercially exploit the Service, except as permitted by Under this contract.
• You will use the Service for lawful purposes only, and you will not use the Services to send or store any illegal or fraudulent material.
• You will not use the Service to cause harm, annoyance or inconvenience to anyone.
• Will not impede the proper operation of the ERPEX system.
• You will not attempt to harm the Service in any way.
• Will not copy or distribute the system or other content without written permission from ERPEX.
• You will keep your account password, or any identification we provide, and access to your account, secure and confidential.
• You will provide us with all evidence proving your identity at your own discretion.
• ERPEX of refusal to provide service or use the system are entitled without giving reasons


license scope

ERPEX grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable and irrevocable license to obtain and use our services only for the personal purpose specified in this contract, so you must: • not make the services available, rent, lease or
assign or resell, distribute or sublicense the Services to any third party.
• not modify, abbreviate, translate, summarize, or create a sub-work based on decompiling, performing reverse engineering to design a ERPEX system or otherwise identifying, attempting to identify, or attempting to access the source code, internal design of the Services, or any text; or multimedia images (photos, audio, video files), data or other information provided by ERPEX or third party service providers.
• Not to delete, alter, or otherwise modify any copyright or other official notices contained in the Services.
• Not intentionally transfer or distribute the Services, or allow the Services to be downloaded for use other than as specified herein.  You will not pretend to grant or allow access to the Services to anyone other than yourself.
• Do not allow the sharing of username/password or other justifications for access to Emarat services.


Intellectual property rights

All intellectual property rights to these Services and all material relating to or appearing on them (including any content you submit or include) is the property of ERPEX.  You must not reproduce or permit anyone, for any reason, to use or reproduce the Services or any trademarks or other trade names that appear on the Services.


paying off

• ERPEX reserves the right to impose new fees for the use of the service.  If you decide to ERPEX a new fee, you will be notified and allowed to continue or terminate the contract.
• ERPEX may amend or update prices from time to time.  It is your responsibility to stay aware of the current prices for the services provided through the prices page and can be accessed through the home page.
• You must pay the value of the services to ERPEX by bank transfers to our account, as soon as the service is provided to you.  You are solely responsible for the timely payment of all fees.  You acknowledge that any amount paid is non-refundable.
• By agreeing to these user terms, you agree that your right to access the data saved in the ERPEX system is linked to the fact that your account is active and your subscription is paid, and that failure to pay the amounts owed by you results in blocking your use of the service and the data saved on it.
In the event that you do not pay the due subscription value in the ERPEX system, ERPEX will give you a maximum period of thirty days for payment before blocking your use of the service and the data saved on it, provided that this period is billed by ERPEX service and paid by you as a user.

ERPEX will, as far as possible, keep the Website, the Service and its contents correct and up-to-date, but does not guarantee that (the contents of) the Website or the Service are free from errors, defects, malware or viruses nor does it guarantee that the Website and the Service are correct, accurate and up-to-date.
Tamar shall not be liable for any damages resulting from the use of (or inability to use) the Website or the Service, including damage caused by malware or viruses, nor shall it be liable for incorrect or incomplete information, the Website or the Service, unless Such damage is not the result of willful misconduct or gross negligence on the part of the reports.
Also, reports shall not be liable for any damages resulting from the use (or inability to use) electronic means of communication with the website or with the service, including - but not limited to - damages resulting from non-delivery of electronic communications or delay in their delivery. Or intercepting or tampering with electronic communications by third parties or by computer programs used for electronic correspondence and transmitting viruses.
Reports seeks as much as possible to provide its electronic services throughout the year 24 hours / 7 days a week, and in all cases, it does not guarantee that the reports system will work fully throughout the year, and that there will be interruptions for the purpose of maintenance, periodic updating, or adding new features to the service.

Modify the services

Reports reserves the right, at its sole discretion, to at any time:
change the Services or any related materials;  and/or stop publishing its services.
If Reports decides to stop publishing its Services, it may voluntarily replace the Services with other similar materials.

Limitation of liability

Reports makes no warranties, express or implied, regarding the services, they are all provided "as is".  To the fullest extent possible in accordance with the law, Ta3far expressly disclaims all warranties, including, but not limited to, warranties of fitness for a particular purpose, fitness for specific specifications and markets, and merchantability of property rights, nor does Ta333 warrant the accuracy, content, or timeliness of the services. or results that may or may not be obtained by the user of the Services.  In no event will Reports, its agents, licensors or affiliates be liable for direct, indirect, punitive, special, incidental or consequential damages (including, but not limited to, damages for loss of profits, downtime business, loss of business information or other financial loss) arising directly or indirectly from access to and use of (or failure to use) or reliance on the Services.
In all cases, by agreeing to these user conditions, you acknowledge that the limits of the responsibility of reports in retaining data are one year for trial subscriptions, and two years for paid subscriptions, and that reports after that have the right to completely delete this data from its service and dispose of it in the way that reports see appropriate.

Safety

You acknowledge that you are solely responsible for the privacy of the Services, and are solely responsible for their use by any other person using your account and/or username, password or access credentials.  You also agree to notify us if you become aware of any loss, theft, or unauthorized use of any password, user name, IP address, or other means of accessing the Services.

Dealings with others

While using the Website and the Service, links to websites owned and controlled by third parties may be provided from time to time in order to correspond with others, purchase products or services from them, or participate in promotions offered by them.  These links take you outside the website, the service, and they are out of Men Do Pick control.

Contract duration and termination

The contract between you and Reports is indefinite.  You may terminate the Contract by closing your User Account at any time.
Reports has the right to terminate the contract with immediate effect at any time (by disabling your use of the Service), if you have: (a) violated or violated any of the User Terms, (b) if Reports believes that you are misusing the Service.  Reports are not obligated to send a prior notice of contract termination.

Invalidation of one or more judgments

The invalidity of any of the provisions of these user conditions does not affect the validity of the rest of the other provisions contained therein.
In the event that there is any invalid provision in these User Conditions or an unacceptable provision in certain circumstances in accordance with the criteria of reasonableness and fairness and only to this extent, it shall be replaced by a provision between the parties that is acceptable taking into account all the circumstances and complies with the provisions of the invalid condition as much as possible, taking into account the content of the terms The corresponding user and purpose.
